1. Definitions
In these Terms, the following words have the meanings shown: • "Proplr", "we", "us", "our" — Proplr FZ-LLC, a UAE Free Zone company registered in Dubai, holding KHDA Permit #633441, the operator of the Platform and the provider of the Programmes. • "Platform" — the proplr.ae website, all subdomains, the dashboard, the public pages, and any related mobile or web applications. • "Programmes" — the educational offerings delivered by Proplr, including Foundation, Impact, Compass, Showcase, and Summer Labs 2026. • "Student" — the natural person enrolling in a Programme. May be a Minor (under 18) or an Adult (18+). • "Parent / Guardian" — the parent, legal guardian, or person with parental responsibility for a Minor Student under UAE law. • "Verifying Adult" — for Adult Students, any adult email contact provided in lieu of a parent/guardian for the purpose of confirming registration; treated as legally equivalent to Parent / Guardian for these Terms where applicable. • "Account" — the personal account created by a Student or, where applicable, by a Parent / Guardian on the Student's behalf. • "User" — the natural person interacting with the Platform. • "You", "Your" — the User accepting these Terms (Student, Parent / Guardian, or Verifying Adult).
2. Acceptance and Capacity
By accessing the Platform, completing any registration form, ticking a consent checkbox, clicking a verification link, or making any payment, You confirm that: (a) You have read, understood, and agreed to these Terms in full; (b) You have the legal capacity to enter into a binding contract under UAE law (i.e. You are 18+ and of sound mind), or, if You are a Minor, that Your Parent / Guardian has accepted these Terms on Your behalf via the Parental Verification flow described in Section 4; (c) The information You provide is true, accurate, current, and complete; and (d) You will keep that information up to date. If You do not agree to any part of these Terms, do not use the Platform.
3. About Proplr and Regulatory Status
Proplr is a KHDA-certified after-school education provider operating in Dubai, UAE under Permit #633441. We deliver structured Programmes, issue KHDA-attested certificates upon successful completion, and operate community features for our enrolled Students. We comply with UAE Federal Decree-Law 45/2021 on Personal Data Protection ("PDPL"), the Cybercrime Law, and applicable consumer protection regulations.
4. Parental Verification (Mandatory for Minor Students)
For any Minor Student, We require explicit, verifiable consent from a Parent / Guardian before any payment may be processed. The verification flow is as follows: (a) During registration, the Student provides the Parent / Guardian's full name, email address, and phone number. (b) We send a one-time verification link to the Parent / Guardian email. The link contains a cryptographically random token, is single-use, and expires after 7 days. (c) The Parent / Guardian opens the link and either Confirms or Declines the registration. We record the timestamp, IP address, and user-agent of the click. (d) Only after a Confirm action does Proplr generate a Stripe Checkout session and unlock payment. A Decline cancels the registration and prevents any charge. (e) If the link expires unused, the registration must be re-initiated from the start. By submitting a registration form on the Student's behalf, by clicking the verification link, or by completing payment, You (the Parent / Guardian or Verifying Adult) confirm under penalty of perjury that You hold parental authority or other legal standing to authorise the enrolment, that the Student details are accurate, and that You consent to the processing of the Student's personal data as set out in our Privacy Policy. False representation of parental authority is a criminal offence under UAE Federal Law and will be reported to the relevant authorities.
5. Eligibility
The Programmes are available to: • Foundation: Students in Grades 8–12 (typically ages 13–18). • Impact: University Students (typically ages 18+). • Summer Labs 2026: Students in Grades 8 and above (no upper limit), subject to cohort capacity. • Compass Assessment: Available to any enrolled Student. We reserve the right to verify eligibility at any time, including by requesting school records, age verification, or guardian identification. We may refuse, suspend, or terminate enrolment if eligibility cannot be established or if information provided is materially false.
6. Account Registration and Security
You are responsible for: • Providing accurate and truthful registration information at all times; • Maintaining the confidentiality of Your account credentials; • All activity that occurs under Your Account; • Notifying Us at hello@proplr.ae immediately upon discovering any unauthorised access or breach. You may not share Your Account, sell access, create multiple accounts to evade limits, or impersonate another person. Violation results in immediate suspension and may give rise to civil or criminal liability.
7. Programmes, Pricing, and Payment
Current published pricing (AED, inclusive of VAT where applicable): • Foundation Programme: AED 450/month × 8 months = AED 3,600 total, OR AED 3,400 paid upfront. • Summer Labs 2026 — In-Person (Cohort 1, Dubai): AED 999 (Early Bird, until 31 May 2026) / AED 1,500 thereafter. • Summer Labs 2026 — Online (Cohort 2): AED 999 (Early Bird, until 31 May 2026) / AED 1,500 thereafter. • Summer Labs 2026 — Labs + Foundation Saver Bundle: AED 3,200 (Early Bird) / AED 3,600 thereafter. • Impact Programme: AED 999 per academic year (flat). • Compass Assessment: as published at point of purchase. All payments are processed by Stripe Payments Europe, Limited and Stripe, Inc. Proplr does not receive, store, or have access to Your full payment card data. By proceeding to payment You agree to Stripe's terms and Our terms simultaneously. By enrolling, You authorise Proplr to charge the applicable fees in full at the time of checkout (or, for monthly Foundation, on the recurring schedule shown). You agree that no service is delivered, no certificate is issued, and no platform access is granted prior to successful payment confirmation.
8. Refund and Cancellation Policy
Subject to mandatory consumer rights under UAE Federal Decree-Law 38/2014 on Consumer Protection, the following refund schedule applies: (a) Cooling-off period — 7 days from payment, before any session is delivered: 100% refund, less any non-refundable third-party processing fees. (b) After 7 days but before the first session of the Programme: 50% refund. (c) After the first session has been delivered: pro-rated refund for unused, future months only (Foundation monthly only). No refunds for past or in-progress months. (d) Summer Labs 2026: cancellation at least 14 days before the Programme start date qualifies for 50% refund; cancellation within 14 days is non-refundable except where the cancellation is initiated by Proplr. (e) KHDA-attested certificates are non-refundable once issued. (f) Where Proplr cancels a Programme due to insufficient enrolment, force majeure, or operational reasons, You receive a full 100% refund or, at Your election, a credit toward a future Programme. Refund requests must be sent in writing to billing@proplr.ae from the email address used at registration. We will respond within 14 calendar days. Approved refunds are returned to the original payment method within a further 14 calendar days, subject to processor timelines. Chargeback abuse — initiating a payment chargeback in lieu of contacting Us — may result in account termination, certificate revocation, and recovery proceedings for Our costs.
9. KHDA Certificates
KHDA-attested certificates are issued upon successful completion of each pillar, requiring a minimum of 80% attendance and completion of the assigned assessments. Certificates are property of the Student and cannot be revoked once issued, except in the case of fraud, plagiarism, identity falsification, or other serious misconduct, in which case We will report the revocation to KHDA. Certificates are stored on Your dashboard and can be downloaded at any time while Your Account remains active. We provide reasonable assistance with replacement copies; reissue may incur a nominal fee.
10. Acceptable Use and Community Conduct
You agree NOT to: • Post, transmit, or share content that is harmful, obscene, defamatory, discriminatory, hateful, sexually explicit, threatening, or otherwise unlawful under UAE law. • Harass, bully, intimidate, dox, or attempt to identify other Users. • Disclose another User's personal information, photos, or messages without their explicit written consent. • Use the Platform for unsolicited commercial communications, advertising, recruitment for unrelated organisations, or competing services. • Attempt to gain unauthorised access to the Platform, its systems, or other Users' accounts; circumvent rate limits, authentication, or other security controls; reverse-engineer, decompile, or scrape the Platform without explicit written permission. • Misrepresent Your identity, age, school, qualifications, or relationship to a Student. • Upload viruses, worms, exploits, or any code intended to disrupt operation or compromise security. • Use the Platform to commit, encourage, or facilitate any criminal offence. Violations may result, at Proplr's sole discretion, in: a warning; content removal; temporary suspension; permanent account termination; refusal of refund; reporting to KHDA, the Student's school, the Student's Parent / Guardian, or relevant law enforcement authorities; and civil recovery of damages.
11. Intellectual Property
All content on the Platform — including but not limited to curriculum materials, lesson plans, assessment frameworks, written content, audio, video, designs, trademarks, logos, source code, AI-generated outputs commissioned by Proplr, and database structures — is owned by Proplr or its licensors and is protected by UAE and international copyright, trademark, and database rights. You may not copy, reproduce, modify, redistribute, sublicense, sell, frame, scrape, or create derivative works of any Proplr content without prior express written permission. You retain all intellectual property rights in original work You upload to Your portfolio (essays, projects, pitch decks, art, video, audio). By uploading, You grant Proplr a non-exclusive, royalty-free, worldwide, perpetual licence to host, store, display, transmit, and back up that work for the purpose of operating the Platform, issuing certificates, and showcasing Student work in marketing materials with Your prior consent. You must not upload work that infringes a third party's intellectual property rights. We will respond to substantiated takedown notices sent to legal@proplr.ae.
12. AI-Generated Content and Mentor Interactions
Some Platform features use third-party large language models (including Anthropic Claude). AI-generated content is provided "as-is" for educational guidance and does not constitute professional, legal, medical, financial, or career advice. Decisions made on the basis of AI output are Your responsibility. We do not warrant the accuracy, reliability, or suitability of AI-generated content for any particular purpose. Mentor interactions (live sessions, written advice, assessments) are provided by Proplr-vetted individuals but represent the personal views of those mentors and not a binding professional opinion of Proplr.
13. Disclaimers
THE PLATFORM AND PROGRAMMES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, PROPLR DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that: (a) the Platform will be uninterrupted, error-free, or secure; (b) defects will be corrected within any specific timeframe; (c) any specific career, university admission, scholarship, internship, or employment outcome will result from Programme participation; (d) AI-generated content is accurate or reliable; (e) third-party services integrated with the Platform (Stripe, Supabase, Resend, Anthropic) will operate without interruption.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, PROPLR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO PROPLR IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) AED 1,000. IN NO EVENT SHALL PROPLR BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, OPPORTUNITIES, OR DATA; OR THE COST OF SUBSTITUTE SERVICES, EVEN IF PROPLR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Nothing in these Terms excludes liability that cannot be excluded under mandatory UAE law (including liability for fraud, gross negligence, wilful misconduct, or for death or personal injury caused by Proplr's negligence).
15. Indemnity
You agree to indemnify, defend, and hold harmless Proplr, its directors, officers, employees, contractors, and agents from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) Your breach of these Terms; (b) Your violation of any third-party right (including intellectual property and privacy rights); (c) Your violation of any law, rule, or regulation; (d) Content You submit, upload, or transmit through the Platform; (e) Any false representation by You concerning Student age, identity, parental authority, or eligibility.
16. Force Majeure
Proplr shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including: acts of God; natural disasters; pandemics, epidemics, or quarantines; government action or regulation; war, terrorism, or civil disturbance; failure of telecommunications, internet, or electricity infrastructure; failure of upstream providers (Stripe, Supabase, Resend, Anthropic, AWS, Vercel); strikes or labour disputes. Where such an event prevents delivery of a Programme for more than 30 consecutive days, You may elect to receive a pro-rated refund or a credit toward a future Programme.
17. Suspension and Termination
Proplr may suspend or terminate Your Account, with or without notice, where We reasonably believe You have: • Materially breached these Terms; • Provided false information; • Engaged in conduct harmful to other Users, Proplr staff, or the Platform; • Initiated fraudulent payment or chargeback activity; • Failed to pay sums due. Termination does not refund sums lawfully owed by You and survives any termination clause requiring it. You may terminate Your Account at any time from the dashboard or by emailing hello@proplr.ae. Termination triggers data retention and deletion as set out in the Privacy Policy.
18. Changes to Terms
We may update these Terms from time to time. We will notify You of material changes by email and via a notice on the Platform at least 14 days before the change takes effect. Continued use after the effective date constitutes acceptance. If You do not accept a change, You may terminate Your Account before the effective date and request a refund of any unused fees pursuant to Section 8.
19. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates as applicable. Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question of its existence, validity, or termination, shall be referred to and finally resolved by the courts of Dubai, UAE, which shall have exclusive jurisdiction. Notwithstanding the above, Proplr may seek injunctive or equitable relief in any competent court to protect its intellectual property or confidential information.
20. Severability and Entire Agreement
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if not possible, severed; the remaining provisions shall remain in full force and effect. These Terms (together with the Privacy Policy and any plan-specific terms presented at checkout) constitute the entire agreement between You and Proplr concerning the Platform and supersede all prior or contemporaneous communications. No waiver of any provision shall be effective unless in writing and signed by an authorised representative of Proplr. These Terms benefit Proplr, its successors, and permitted assigns. You may not assign Your rights or obligations without Our prior written consent. We may assign Our rights and obligations to any successor entity in the event of merger, acquisition, or corporate restructuring.
